Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Sendao platform, operated by PIATEC (Thailand) Co., Ltd. ("Sendao", "we", "us", the "Company") through our website, the Restaurant app, and the Creator app (together, the "Service"). By creating an account, signing in, or otherwise using the Service — whether as a restaurant or a creator — you confirm that you have read, understood, and agree to these Terms, including our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, please do not use the Service.

1. Acceptance of Terms

The Service is available only to individuals who are at least 20 years old under Thai law, or to minors who have obtained the consent of a legal guardian as required by law. By using the Service, you represent that the information you provide to us is accurate, truthful, and up to date. We may update the Service, add or remove features, or change these Terms at any time. We will notify you of material changes as described in Section 13.

2. Eligibility & Account Registration

You may register an account with an email address and password, or sign in using a Google or LINE account ("social login"). Each email address or social account is tied to exactly one role (restaurant, creator, or admin). The role assigned to a new account is determined by the application you register through and cannot be selected by information submitted from your device. You are responsible for keeping your password and account access secure, and must notify us immediately of any unauthorized use of your account. You must also verify your email address before you can use the Service. You may link an additional Google or LINE account to an existing account from the settings page, but social accounts are never linked automatically at sign-in — this prevents an unauthorized party from hijacking an existing account through social login.

3. User Roles: Restaurants and Creators

The Service connects two groups of users: (a) restaurants seeking promotion through creators, and (b) nano and micro creators (small-scale reviewers/influencers) on Instagram and TikTok. PIATEC administrators may access and manage platform data as necessary to operate and maintain the quality of the Service. Restaurants open campaigns and set the number of slots, budget (quota), and participation requirements. Creators apply to open campaigns or accept direct invitations from restaurants.

4. Campaigns & Matching

Restaurants may open campaigns for general applications or invite specific creators directly ("nomination"). Each campaign has a limited number of slots based on the restaurant's subscription package. A matching quota is deducted when a creator is accepted, and refunded if the collaboration is cancelled or withdrawn before completion. In Phase 1 of the Service, creator compensation is limited to in-kind rewards (a complimentary meal or service at the restaurant). The Service does not currently support cash payment or an escrow system, and does not process any online payment. Restaurant subscription fees are agreed and invoiced outside the platform, directly between the restaurant and PIATEC. Beyond facilitating matching and visit verification, the platform is not responsible for financial disputes or the quality of food/service a restaurant provides to a creator.

5. Linking Social Media (SNS) Accounts & Accuracy of Information

Creators must link at least one Instagram or TikTok account to use the Service, by entering the handle/username of an account they own or control. You represent that any handle you provide belongs to you, and, as a condition of using the Service's creator features, you agree that we may collect that account's public data as described in Section 3 of our Privacy Policy. In Phase 1, we do not operate a formal SNS ownership-verification process (a "trust-based" model). If we determine that you provided a handle that is not yours, impersonated another person, or otherwise provided false information, we reserve the right to immediately suspend or terminate your account and to pursue any resulting damages. Anyone whose Instagram or TikTok account was linked by a Sendao user without authorization may contact us at info@piatec.co.th to have the link removed. Follower counts, engagement rates, and creator scores shown on the platform are calculated from data periodically retrieved from your linked social account. You understand these figures may not perfectly reflect real-time reality, given the limitations of the data-collection process. You may unlink an SNS account at any time from the settings page; since a linked account is required to use creator features, doing so will prevent you from applying to new campaigns until you link another account.

6. Restaurant Visits & QR Check-in

Once accepted into a campaign, the restaurant and creator agree on a visit date and time within the Service. Upon arrival, the creator is issued a single-use, expiring QR code for the restaurant to scan ("check-in") to confirm the visit. The check-in timestamp is recorded as proof of the visit and used to calculate both parties' scores/statistics. Creators must publish their post according to the campaign's agreed requirements (platform, format, hashtags) within the specified deadline. Failing to attend a scheduled visit, failing to post by the deadline, or deleting a post before the required minimum period after confirmation may affect your creator score and account standing.

7. Content, Posting & License

You own the content you create and publish (Instagram/TikTok posts, chat messages, attachments, draft videos submitted for review). By submitting a post link, attachment, or other content through the Service, you grant Sendao a non-exclusive license to store, display, and use that content as necessary to operate the Service — for example, quality review, display on a creator's public portfolio, or campaign performance reporting to a restaurant. You may not submit unlawful content, content that infringes a third party's rights, or otherwise inappropriate content through the Service's chat or attachment features. We reserve the right to remove content that violates these Terms without prior notice.

8. Ratings & Complaints

When a campaign is completed, both the restaurant and the creator may rate each other. Ratings are hidden until both parties have submitted theirs, or until a system deadline passes, to keep feedback honest. If you experience inappropriate behavior from the other party, you may file a complaint through the Service or contact us using the details in Section 14. Our team will review the complaint and may take appropriate action, including suspending or terminating the reported party's account.

9. Prohibited Conduct

You agree not to: - Provide false information about yourself, your restaurant, or your social media accounts - Buy, sell, or trade user accounts, or use another person's account without authorization - Fabricate visits, check-ins, or posts to manipulate the rating system - Use the Service to spam, harass, threaten, or discriminate against other users - Attempt to access another user's data or account without authorization, or interfere with the operation of the Service (including unauthorized scraping of our platform) - Use the Service for any unlawful purpose

10. Suspension, Deactivation & Termination

We may suspend or terminate your account immediately if we determine you have violated these Terms, provided false information, or engaged in conduct harmful to other users or the platform. We will attempt to notify you of the reason via your registered email, except where prohibited by law or where immediate action is required for safety reasons. You may request closure of your account by contacting us using the details in Section 14. Closing your account will end your access to the Service, though certain data may be retained as described in our Privacy Policy, to comply with legal obligations or resolve disputes that may arise.

11. Disclaimers & Limitation of Liability

The Service is provided "as is." We do not warrant that the Service will be error-free, will operate without interruption, or that displayed data (such as follower counts or engagement rates) will be complete and accurate at all times, given that some data originates from third-party collection processes. To the fullest extent permitted by law, Sendao and PIATEC are not liable for indirect, incidental, or consequential damages arising from use of the Service, including but not limited to disputes between a restaurant and a creator regarding food quality, service, or posted content. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under Thai law, including liability for death or personal injury caused by our negligence or for fraud.

12. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Kingdom of Thailand. Any dispute arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent Thai courts.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via your registered email or a platform notice, in advance of the change taking effect where practicable. Continued use of the Service after a change takes effect constitutes your acceptance of the updated Terms.
